Director, Corporate/Business Development

Job Description:

The Director, Corporate Development will be a key senior member of the Corporate Development team, reporting to the Global Head of Corporate & Business Development. Based in Hoffman Estates, this function will be responsible to manage various aspects that support Corporate & Business Development (acquisitions, strategic investments, re-seller partnerships, warrant and option agreements and divestitures) activities for the company. Responsibilities include overseeing the team on financial modeling & analysis, business case development and presentation, 3rd party financial research & analysis, overseeing due diligence, integration and separation planning, and other ad hoc projects presented by executive management. -
The position will have heavy interaction with key senior executive level management of the business (ex., CEO, COO, CFO, etc.) so highly skilled presentation capabilities and knowledge of the M&A process are a must. Position Responsibilities

  • Works with autonomy and has the ability to execute aspects of the transaction
  • Understand valuation and an ability to discuss valuation with private equity principals, investment bankers and chief financial officers
  • Experience negotiating business points and working alongside counsel to negotiate the terms of the transaction
  • consistently follow an M&A playbook to manage team and ensure that the team is working on the right working documents for the project
  • Oversees program management of all acquisitions, divestitures and joint ventures through the entire lifecycle of the transaction including oversight of the due diligence process in acquisitions, divestitures, and investments including (as applicable): kick off meetings, managing logistics, coordinating follow up activities, and due diligence reports from each functional leader
  • Provides effective monitoring and controlling during the lifecycle of projects. Where appropriate, initiate and control escalation within the relevant organization to resolve project issues or mitigate risk.
  • Oversees and provides final review of business cases before handing over to the Global Head of Corporate Development. This includes ensuring that the business case has been reviewed by the business case owner and appropriate contacts within our organization
  • Responsible for final review of work completed by Analyst's, and Managers
  • development of internal strategic opportunity documents to be presented to CDK's Steering Committee and regularly participates in the discussion with executive management
  • Helps lead special/ad-hoc internal projects as appropriate.
  • Balance multiple projects, results oriented, and drive projects to completion according to deal timelines in a team environment.
  • Responsible for collecting and archiving final sign-offs on business cases from folks within the working group and executive leadership
  • Develops the Analysts, Associates and Managers on the team so they become more experienced M&A professionals and develop business skills to help position them for advancement within CDK Qualifications and Job Requirements
    • 7+ years of experience
    • Advanced skills in Microsoft Office applications. Focus on Excel and PowerPoint
    • Strong understanding of valuation and financial models (DCF, LBO, etc.)
    • Strong interpersonal and written communication skills
    • Comfortable working in a fast paced environment
    • Lead meeting with poise and demonstrate executive presence
    • Comfortable with daily interactions with VP level leaders and presenting in front of the Steering Committee
    • experience and competent in accounting, financial modeling and analysis, company evaluation and valuation, market/industry research and competitive analysis
    • Strong attention to detail and accuracy
    • Displays confidence, independent decision making, and accountability

    • Demonstrated ability to build professional relationships with internal and external stakeholders
    • Ability to manage conflicting priorities

      • Comfortable with daily interactions with VP and SVP level leaders and presenting in front of the Steering Committee
      • Direct people management experience, with proven ability to lead, motivate, coach and influence team members
