In July 2021, Tate & Lyle announced that it has entered into an agreement to sell a controlling stake in a new company, comprising of its Primary Products business in North America and Latin America and its interests in two joint ventures, to KPS Capital Partners, LP. Tate & Lyle and KPS will each own approximately 50% of the new company ("NewCo"-- -) with KPS having Board and operational control. The Senior Legal Counsel will be a NewCo employee.The Primary Products Business is a leading provider of nutritive sweeteners, industrial starches, acidulants and other corn-derived products in North America and Brazil. Founded in 1906 as A.E. Staley Manufacturing Co., the Primary Products Business has an over 100-year history of producing corn-derived products in the United States. The Company produces corn-derived products for a diverse set of end-uses including carbonated beverages, confectionery products, packaging applications and animal feed, among others, and is proud to serve some of the world's most recognizable food and beverage brands. With approximately 1,700 employees across six manufacturing facilities in the United States and Brazil, the Primary Products Business generates annual revenue of approximately $2.3 billion.Role PurposeWe are looking for a highly qualified Senior Legal Counsel with substantial experience negotiating and managing customer and vendor agreements. You will be a trusted advisor to the business and support highly visible, complex transactions. In addition, you will help manage litigation and provide legal advice in connection with compliance related matters. To ensure success, you need to have sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions. Top candidates will have a track record of being team players with outstanding advocacy and people skills.This position reports directly to the General Counsel of NewCo.Essential Duties and Responsibilities will include:Provide timely, pragmatic and accurate counsel responding to issues affecting the day-to-day business operations of the Company.Draft, review and negotiate complex commercial agreements, including MSAs, vendor agreements and distribution and supply agreements, with customers, suppliers and other third parties.Develop and manage internal policies and monitor compliance.Develop training materials and provide training on relevant topics to colleagues.Ensure the Company's compliance with state and federal laws and regulations.Manage litigation and insurance claims relating to commercial and contractual matters and routine governmental inquiries.Work closely with and manage outside counsel as needed.Requisite Experience/Skills Desired:8+ years of relevant legal experience in a law firm or in-house (or combination of both)Experience negotiating and drafting a variety of complex commercial agreements, including MSAs, marketing agreements, vendor agreements, NDAs, distribution and supply agreements and licensing agreements.Experience providing counsel to the business in connection with complex legal transactions.Excellent writing and negotiating skills.Demonstrated ability to build credibility, trust and respect with internal and external stakeholders and contribute effectively to cross-functional and departmental projects.Litigation management experience.M&A and/or environmental law experience is a plus.Demonstrated ability to produce high quality work in a fast-paced environment.#LI-DW1California Consumer Privacy Act ("CCPA")The Company is committed to complying with the California Consumer Privacy Act ("CCPA"-- -) and all data privacy and laws in the jurisdictions in which it recruits and hires employees.
